The deal, in plain words.

Who this is between

These terms are between Bighorn Byte LLC, a Wyoming limited liability company, and the business buying the work. If you are agreeing on behalf of a company, you are saying you are allowed to agree for it.

They cover this website, anything Bighorn Byte builds or hosts for you, and the QuickBooks connection described further down. If you have signed a care plan, a domain custodial agreement or a written scope, that document is the real agreement and it wins wherever the two differ. This page is the shorter public version of the same deal, not a second one.

The work, and what it costs

A build is quoted to the job. You get the scope in writing before anything starts, and work outside that scope is quoted before it is done rather than after.

Care plans are monthly and cover updates, backups, monitoring, analytics and content changes. Mailboxes are a plan of their own or bundled into a care plan. Project work outside a plan is billed hourly at the published rate.

What you pay and when is set out in your quote or your plan, not here. Prices for plans and hourly work are published on the pricing page and can change with notice; a quoted build does not change price after it is quoted.

What you put on the site

Your text, your photographs, your logo and your inventory stay yours. Nothing here transfers ownership of them.

To host a website I need permission to store it, copy it between servers, resize your images and show them to the public. That is what hosting is, and that permission is limited to running your site. It is not a licence to use your material for anything else, and it ends when the work does.

You are confirming you have the right to what you hand over. If you send me a photograph you do not own, or copy from a manufacturer or another dealer, that is a problem you have to fix and I will take it down when I learn about it.

Who owns the finished site

The site built for you is yours: the design, the content and the domain. If you leave, you take it.

The underlying platform is not. The code Bighorn Byte reuses across every client stays Bighorn Byte’s, and building your site does not hand any of it over. This is the ordinary arrangement and it is what keeps a small shop able to charge one business for work that carries across several.

Connecting QuickBooks

This is optional and off unless you turn it on. If you connect it, your website can post sales to your books without anybody typing them twice.

When you approve the connection at Intuit, Bighorn Byte holds the authorization and hands your own website a short-lived key each time it needs one. Your website talks to QuickBooks directly. No accounting data is stored here. Not an invoice, not a customer, not an amount. The privacy policy sets out exactly what is held and what happens to it.

Approving at Intuit is you giving permission to connect, and it is the only permission there is: nothing here grants it and Bighorn Byte cannot connect a company on your behalf. By approving, you are also confirming that the QuickBooks company is yours or that you are allowed to connect it, and that doing so does not break an agreement you have with somebody else.

You can disconnect at any time, from inside QuickBooks, under Apps. It takes effect immediately and does not go through me. When it ends, the stored keys are deleted.

Keeping your QuickBooks subscription current is your side of it. If it lapses, or somebody at your company revokes the authorization, the connection stops working. That is not a fault I can fix from here, and it is not a failure of the service.

The other side of that is a promise rather than a description: when permission is withdrawn, by you or by anybody at your company, Bighorn Byte stops using it immediately. It does not retry, it does not wait for a renewal, and the stored keys go.

Bighorn Byte is a member of the Intuit Developer Program. It is not owned by, endorsed by or partnered with Intuit, and it does not act on Intuit’s behalf. What Intuit does with your QuickBooks company is governed by Intuit’s own terms.

Things I depend on and do not control

Your site runs on other people’s infrastructure: a host, a content network, a domain registrar, an email provider, and Intuit if you connect QuickBooks. They go down sometimes, and they change how they work sometimes.

I will fix what is mine and I will tell you plainly when something is not. What I cannot do is promise that a third party will stay available, keep its prices, or leave its interfaces alone. If one of them changes something that breaks part of your site, getting it working again is ordinary work rather than a warranty claim.

Using it sensibly

Do not use anything I build to break the law, to send bulk unsolicited email, or to host material you do not have the rights to. Do not try to reach another client’s data, and do not attack the service or probe it without asking me first. If you think you have found a security problem, email contact@bighornbyte.com and I will take it seriously.

Ending it

Either of us can end this. A care plan is month to month and either side cancels with at least thirty days’ notice, in writing or by email; it then ends at the close of the billing cycle already paid for, and prepaid fees are not refunded. A build in progress is billed for the work done to that point.

When we are done: you keep the site, the content and the domain, and I will help move it somewhere else rather than making that hard. Any QuickBooks connection is ended and its stored keys are deleted. The record that the connection existed is kept without the keys so the history stays explainable, and if you want that removed too, ask and it is removed.

I can suspend the service if an invoice goes fifteen days past due, and only after written notice and five days to clear it. I can end it earlier if the acceptable use paragraph above is being broken or if I am required to. Either way I tell you why, and for nonpayment I tell you before rather than after.

What I do not promise

I do not promise the service will be uninterrupted or error-free, or that any particular result, ranking or amount of business will follow from it. Software has bugs and the internet has bad days. Everything here is provided as it is, without warranties beyond those the law will not let me disclaim.

If something does go wrong and it is my fault, what I owe is capped at what you paid Bighorn Byte in the twelve months before it happened. Neither of us owes the other for lost profits, lost business or other indirect losses. Nothing here limits liability for fraud, or for anything else the law does not allow to be limited.

Changes to this page

If how I work changes, this page changes with it and the date below moves. If a change matters to you, I will tell you rather than relying on you noticing. Carrying on after that is how a change is accepted.

Where disputes go

Wyoming law governs this, and the courts of Sheridan County, Wyoming are where anything unresolved ends up. Before it gets that far, call me. In the entire history of this business no disagreement has needed anything more than a phone call, and that is the outcome both of us should want.
