Terms of Service

Parties

These terms are between Bighorn Byte LLC, a Wyoming limited liability company, and the business purchasing the work. If you accept on behalf of a company, you warrant that you are authorized to do so.

They cover this website, anything Bighorn Byte builds or hosts for you, and the QuickBooks connection described below. A signed care plan, domain custodial agreement or written scope is the controlling agreement and prevails wherever the two differ. This page is the public summary of the same terms, not a second agreement.

Scope and fees

A build is quoted per job. Scope is provided in writing before work starts. Work outside that scope is quoted before it is performed.

Website packages are billed monthly and include hosted admin access, hosting, maintenance, backups and the features listed for the selected tier. Mailboxes are available separately or included in eligible packages. Care-only agreements keep their agreed scope. Project work outside a package is quoted separately.

Payment amounts and timing are set by your quote or your plan. Plan and hourly prices are published on the pricing page. The agreed package rate is fixed for the first twelve months, including the scheduled end of any new-customer offer, and changes after that with at least thirty days’ notice. A quoted build price does not change after quoting.

Your content

Your text, photographs, logos and inventory remain yours. Nothing in these terms transfers ownership of them.

Hosting requires a licence to store your material, copy it between servers, resize your images and display them publicly. That licence is limited to operating your site, covers nothing else, and ends when the work ends.

You warrant that you hold the rights to what you supply. Material you do not own, including manufacturer or third-party dealer content, is yours to resolve. Bighorn Byte removes infringing material on notice.

Ownership

You retain your domain, content, inventory data and the frontend deliverables purchased under your agreement. Because setup is priced below the cost of a launch, the frontend transfers after twelve months of package service, or earlier once the remaining launch balance stated in your agreement is settled.

Bighorn Byte retains the shared admin platform and its code. Your subscription provides access to that hosted service, not ownership or a transfer of the platform. The agreement specifies the frontend handover, data export and any work needed to run the frontend with another provider.

QuickBooks connection

The connection is optional and disabled unless you enable it. When enabled, your website posts sales to your books without duplicate entry.

You approve the connection at Intuit. Bighorn Byte holds the resulting authorization and issues your website a short-lived key on request. Your website communicates with QuickBooks directly. No accounting data is stored here. No invoice, no customer, no amount. The privacy policy sets out what is held and what happens to it.

Approval at Intuit is the only permission that exists. These terms do not grant it, and Bighorn Byte cannot connect a company on your behalf. By approving, you confirm that the QuickBooks company is yours or that you are authorized to connect it, and that connecting it breaches no agreement with a third party.

You can disconnect at any time, from inside QuickBooks, under Apps. Disconnection is immediate and does not go through Bighorn Byte. The stored keys are deleted.

Maintaining a current QuickBooks subscription is your responsibility. If it lapses, or the authorization is revoked at your company, the connection stops working. That is not a defect in the service.

When permission is withdrawn, by you or by anyone at your company, Bighorn Byte stops using it immediately. It does not retry, it does not wait for a renewal, and the stored keys are deleted.

Bighorn Byte is a member of the Intuit Developer Program. It is not owned by, endorsed by or partnered with Intuit, and it does not act on Intuit’s behalf. Intuit’s own terms govern what Intuit does with your QuickBooks company.

Third-party services

Your site depends on infrastructure Bighorn Byte does not control: a host, a content network, a domain registrar, an email provider, and Intuit where QuickBooks is connected. These services have outages and they change how they work.

Bighorn Byte repairs what is within its control and identifies what is not. No guarantee is given that a third party will stay available, hold its prices, or leave its interfaces unchanged. Restoring a site after a third-party change is ordinary work rather than a warranty claim.

Bighorn Byte is an independent software provider and is not an official partner, approved vendor, or representative of any equipment, vehicle, or trailer manufacturer. Where client dealerships utilize incoming data feeds or display manufacturer models, Bighorn Byte provides software integration and catalog management services only.

Acceptable use

Do not use anything Bighorn Byte builds to break the law, to send bulk unsolicited email, or to host material you do not hold the rights to. Do not attempt to reach another client’s data. Do not attack or probe the service without prior permission. Report suspected security problems to contact@bighornbyte.com.

Termination

Website packages are month to month. Either party may cancel with at least thirty days’ notice in writing or by email, effective at the close of the applicable billing cycle. Custom projects and existing care-only agreements retain their own terms. Any outstanding setup, launch or project balance follows the signed agreement. Prepaid fees are not refunded.

On termination you retain the purchased frontend, content, domain and data under your agreement. Hosted admin access and integrations end with the subscription. Any QuickBooks connection is ended and its stored keys are deleted. The record that the connection existed is retained without the keys so the history stays explainable, and it is deleted on request.

Bighorn Byte may suspend the service if an invoice is fifteen days past due, after written notice and five days to clear it, and may terminate earlier for breach of the acceptable use section above or where required to. A reason is given in either case, and for nonpayment it is given in advance.

Warranties and liability

The service is provided as it is. Bighorn Byte does not warrant that it will be uninterrupted or error-free, or that any particular result, ranking or volume of business will follow from it. No warranties are given beyond those the law does not permit to be disclaimed.

Bighorn Byte’s total liability is capped at what you paid Bighorn Byte in the twelve months before the event giving rise to it. Neither party is liable to the other for lost profits, lost business or other indirect losses. Nothing here limits liability for fraud, or for anything else the law does not permit to be limited.

Changes to these terms

These terms change when the work changes, and the date below moves with them. A material change is notified rather than left to be noticed. Continued use after that is acceptance.

Governing law

Wyoming law governs these terms. Unresolved disputes go to the courts of Sheridan County, Wyoming. Contact Bighorn Byte before filing.
